General Terms and Conditions

These general terms and conditions apply to all offers, services, deliveries, installations, consultancy, maintenance and other services provided by Electratec Pro GmbH, in particular in the fields of security technology, building automation, electrical installations, alarm systems, video surveillance, access control, smart-home solutions and related services.

By placing an order, accepting an offer, using the website or receiving services from Electratec Pro GmbH, the customer accepts these GTC.

Offers from Electratec Pro GmbH are non-binding unless expressly stated otherwise. A contract is concluded as soon as the customer accepts an offer in writing, orally, electronically or by conclusive conduct and Electratec Pro GmbH confirms the order or begins to perform.

Changes or additions to an order may result in adjustments to prices, deadlines and scope of services.

Electratec Pro GmbH provides its services professionally and to the best of its knowledge and ability. The specific scope of services follows from the respective offer, order confirmation or individual agreement.

Where required, Electratec Pro GmbH may engage suitable third parties or subcontractors to perform its services.

The customer undertakes to provide in good time all information, access, permits, plans and technical prerequisites necessary for performing the order.

Delays, additional effort or additional costs caused by missing, late or incorrect cooperation may be invoiced to the customer.

The prices stated in the relevant offer, order confirmation or on the website apply. Unless otherwise stated, all prices are in Swiss francs (CHF).

Additional services, change requests, additional effort, waiting times, special material costs, express surcharges or unforeseeable work will be invoiced separately.

Price changes are reserved, in particular in case of changes in material costs, supplier prices, exchange rates, transport costs or statutory levies.

Unless otherwise agreed, invoices are payable within 10 days from the invoice date without deduction.

Electratec Pro GmbH may require advance payments, partial payments or instalments, in particular for larger projects, material orders or custom work.

In the event of late payment, Electratec Pro GmbH is entitled to charge default interest of 5% per year as well as reminder and collection fees. Further legal steps remain reserved.

Stated deadlines and dates are guideline values unless expressly designated as binding in writing.

Electratec Pro GmbH is not liable for delays caused by force majeure, supply bottlenecks, official measures, lack of customer cooperation, technical disruptions or other circumstances beyond its control.

Deliveries, assembly and installations are carried out according to the individual agreement. Benefit and risk pass to the customer at the latest upon handover, installation or commissioning of the products.

The customer is obliged to check delivered products and completed work immediately and to report any defects in writing according to Section 10.

Delivered goods, devices, components and materials remain the property of Electratec Pro GmbH until all claims have been paid in full.

Electratec Pro GmbH is entitled to have a corresponding retention of title entered in the competent register if this is provided for or required by law.

After completion of the work or handover of the products, the customer must examine the services immediately. Obvious defects must be reported in writing:

• within 30 days for larger projects;
• within 15 days for all other orders.

If no notice of defect is given within the relevant period, the services are deemed to be approved, subject to hidden defects.

The respective warranty and guarantee provisions of the manufacturers or suppliers apply to products and materials. Electratec Pro GmbH assumes no further warranty unless expressly agreed in writing.

In the case of justified defects, Electratec Pro GmbH may at its discretion offer rectification, replacement delivery or an appropriate price reduction.

Damage resulting from improper operation, external interventions, lack of maintenance, external influences, power failures, network disruptions, moisture, fire, vandalism, force majeure or normal wear and tear is excluded from the warranty.

There is no general right of return or exchange unless expressly agreed in writing.

Individually ordered, configured, installed or specially procured products are excluded from return and exchange.

Goodwill arrangements may be granted on a voluntary basis on a case-by-case basis but do not constitute a claim for future cases.

By signing the offer, the order is deemed to be bindingly placed.

Cancellation of the order by the customer must be notified in writing no later than 30 calendar days before the agreed start of execution or of the project.

In the event of cancellation of an order already confirmed by signing the offer, a cancellation fee of 5% of the agreed net order value (excluding VAT) will be charged.

The statutory value added tax due will additionally be charged on the calculated cancellation fee.

Costs already incurred, specially ordered material, customer-specific products as well as planning, engineering or other services already provided may additionally be invoiced.

Maintenance, service and support services are invoiced according to a separate agreement or based on actual time spent.

Electratec Pro GmbH assumes no warranty for the permanent availability, compatibility or functioning of systems operated, updated or modified by third parties.

Security systems such as alarm systems, video surveillance, access control or smart-home systems are intended to support security and control measures. Complete prevention of break-ins, damage, false alarms, system failures or unauthorised access cannot be guaranteed.

The customer remains responsible for proper operation, regular maintenance, correct use and compliance with legal requirements, in particular in connection with data protection, video surveillance and access control.

The liability of Electratec Pro GmbH is, to the extent permitted by law, limited to direct damage caused by intentional or grossly negligent behaviour.

Liability for indirect damage, consequential damage, lost profit, data loss, business interruption, reputational damage or damage caused by third parties is excluded to the extent permitted by law.

Liability for assistants, subcontractors and suppliers is excluded to the extent permitted by law.

Electratec Pro GmbH processes personal data in accordance with applicable Swiss data-protection provisions. Further information on the processing of personal data can be found in the privacy policy on the website.

The customer is responsible for complying with all legal data-protection and information obligations when using video surveillance, access control, alarm systems or similar systems.

Concepts, plans, drawings, technical documentation, offers, software configurations, texts, images and other documents remain the property of Electratec Pro GmbH or the respective rights holders.

Disclosure, reproduction, publication or use outside the agreed purpose is only permitted with prior written consent.

Both parties undertake to treat confidential information, business secrets, technical documents, access data and security-relevant information as confidential and not to pass it on to third parties without consent.

Electratec Pro GmbH is not liable for non-performance or delayed performance of obligations as a result of force majeure. This includes in particular natural events, power outages, cyber-attacks, pandemics, strikes, supply shortages, official orders, war, riots or other unforeseeable events outside its sphere of influence.

Electratec Pro GmbH reserves the right to amend these GTC at any time. The version in force at the time of the conclusion of the contract is decisive.

Should individual provisions of these GTC be wholly or partially invalid or unenforceable, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a rule that comes as close as possible to the economic purpose of the original provision.

These GTC and all legal relationships between Electratec Pro GmbH and the customer are governed exclusively by Swiss law.

To the extent permitted by law, the place of jurisdiction is the registered office of Electratec Pro GmbH. Mandatory statutory places of jurisdiction remain reserved.
